You agree to defend, indemnify, and hold harmless the Benefitter Parties against any and all Liabilities, including but not limited to those arising out of: (i) any actual or alleged breach of these TOU, or any related or subsequent agreements, by you, your affiliates and subsidiaries, their respective employees, or anyone authorized to act on your behalf; (ii) any negligence or willful misconduct by you or your affiliates or subsidiaries, or the respective employees or agents of such entities, or anyone else authorized to act on your behalf; (iii) any injury to person or property caused by any products sold or otherwise distributed in connection with the Benefitter Parties or services provided by the Benefitter Parties; (iv) any material supplied by you infringing or allegedly infringing on the proprietary rights of a third party; (v) copyright infringement; (vi) any claim or allegation that your services or products violate any law, ordinance, rule, statute, or regulation of any jurisdiction; (vii) any claims from your employees, agents, independent contractors, sub-contractors, and/or suppliers with respect to any lien for nonpayment of services or materials; and (viii) any defective product which you sold as a result of using the Benefitter Website.

With respect to any disputes or claims not subject to arbitration, you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in the State of Texas, and you hereby consent to personal jurisdiction, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction, in the state and federal courts therein. Additionally, you agree that regardless of any statute or law to the contrary, any dispute arising out of or related to the Website or these TOU must be filed within one year after such claim or cause of action arose.

Dispute Resolution:By using the Website in any way, you unconditionally agree and consent that any controversy or claim you may have against the Benefitter Parties arising out of or relating to these TOU or the Website shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Dallas, Texas, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. ACCORDINGLY, YOU ACKNOWLEDGE THAT YOU MAY NOT HAVE ACCESS TO A COURT, TO CLASS OR REPRESENTATIVE PROCEDURES, OR TO A JURY TRIAL. PolicyTerms used but not defined in this Privacy and Security Policy will have the meaning given such terms in the Terms of Use. We reserve the right to change this Privacy and Security Policy at any time, without notice to you. It is your responsibility to periodically check for any changes we make to the Privacy and Security Policy. Continued use of the Website will constitute acceptance of such changes.

Information This Website Gathers About You:We collect personally identifiable information about you when you provide it to us voluntarily, such as by registering with us as a broker or agent, completing a survey, or requesting information about services on the Website. We may also collect information about employers or employees as part of a broker’s management of an account or quotation for coverage.

Additionally, our Website routinely collects and stores information from online visitors.
